By accessing and using UpAI ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to these Terms of Service, please do not use the Service.

2. Description of Service

UpAI provides AI-powered tools for freelancers to generate proposals, manage client communications, and optimize their Upwork workflow. The Service includes:

  • AI proposal generation
  • Smart chat reply suggestions
  • Job matching and scoring
  • Profile memory and customization
  • Analytics and performance tracking

3. User Accounts

To use certain features of the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password
  • Accept all responsibility for activity under your account
  • Notify us immediately of any unauthorized use

4. Subscription and Payment

UpAI offers both free and paid subscription plans:

  • Free Trial: 7-day trial with 10 AI proposals
  • Pro Plan: $19/month with unlimited proposals and features
  • Agency Plan: $49/month with multi-account management

Subscriptions automatically renew unless canceled before the renewal date. You may cancel at any time through your account settings.

5. Acceptable Use

You agree not to:

  • Use the Service for any illegal purpose
  • Violate any laws in your jurisdiction
  • Infringe on intellectual property rights
  • Transmit harmful code or malware
  • Attempt to gain unauthorized access to the Service
  • Use the Service to spam or harass others
  • Resell or redistribute the Service without permission

6. Intellectual Property

The Service and its original content, features, and functionality are owned by UpAI and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of content you create using the Service.

7. AI-Generated Content

UpAI uses artificial intelligence to generate proposals and content. While we strive for accuracy and quality, AI-generated content should be reviewed and edited before use. You are responsible for all content submitted through your account, including AI-generated content.

8. Limitation of Liability

UpAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Service. Our total liability shall not exceed the amount paid by you in the past 12 months.

9. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the new Terms.
